(24) To distribute any of the property of the Company
in specie among the members.
(25) To do all or any of the above things in any part of the world, and either as principals, agents, contractors, trustees, or otherwise, and either by or through agents, sub-contractors, trustees, or otherwise, and either alone or in conjunction with others.
(26) To do all such other things as are incidental or conducive to the attainment of the above objects.
AND it is hereby declared that the word "Company" in this Memorandum except where used in reference to this Company shall be deemed to include any partnership or other body of persons whether incorporated or not incorporated and whether domicled in Hongkong or elsewhere and the intention is that the objects specified in each paragraph of this clause shall except where otherwise explained in such paragraph be in no wise restricted by reference to or inference from the terms of any other paragraph or the name of the Company.
Fourth. The liability of the members is limited.
Fifth. The Capital of the Company is Two Hundred and Twenty Thousand Dollars Hongkong Currency, divided into Two thousand Two hundred shares of One hundred Dollars Hongkong Currency, each with power to divide the shares in the Capital for the time being whether original or increased into several classes and to attach thereto respectively any preferential, deferred, qualified, or special rights, privileges, or conditions but so that where shares are issued with any preferential or special rights attached thereto such rights shall not be alterable otherwise than pursuant to the provisions for the modification of such rights and the distribution of assets in specie on winding up contained in the accompanying Articles of Association.

WE, the several persons whose names and addresses are subscribed are desirous of being formed into a Company in pursuance of this Memorandum of Association and we respectively agree to take the number of Shares in the Capital of the Company set opposite to our respective names.
